Terms of Service

1. Introduction

1.1 Purpose

These Terms of Service ("Terms") govern your access to and use of Centipid Academy, including its website, applications, digital learning content, assessments, certificates, and related services (collectively referred to as the "Platform").

These Terms constitute a legally binding agreement between Centipid Technologies ("Centipid Academy", "we", "our", or "us") and every person who accesses or uses the Platform ("User", "you", or "your").

By creating an Account, accessing the Platform, enrolling in a Course, purchasing any Service, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

1.2 Related Documents

Your use of the Platform is also governed by our:

• Privacy & Cookie Policy; and

• Instructor Terms & Revenue Policy (where applicable).

These documents form part of these Terms where relevant to your use of the Platform.

2. Definitions and Interpretation

2.1 Definitions

For the purposes of these Terms:

Account means a registered account that enables a User to access the Platform.

‘Content’ means all text, images, videos, graphics, software, assessments, documents, downloadable resources, trademarks, logos, and other materials made available through the Platform.

‘Course’ means any educational programme, lesson, assessment, or learning material offered through the Platform.

‘Instructor’ means a user approved by Centipid Academy to publish Courses on the Platform.

‘Platform’ means the Centipid Academy website, applications, software, and related services operated by Centipid Technologies.

‘Services’ means all services provided through the Platform, including user registration, course enrolment, learning management, assessments, certificates, and related functionality.

‘User’ means any individual accessing or using the Platform, whether as a learner, instructor, administrator, or visitor.

2.2 Interpretation

Unless the context requires otherwise:

1. words importing the singular include the plural and vice versa;

2. words importing one gender include all genders;

3. headings are included for convenience only and do not affect interpretation;

4. references to legislation include amendments, replacements, or re-enactments of that legislation;

5. the words "including", "includes", and similar expressions mean "including without limitation."

3. User Accounts

3.1 Account Registration

To access certain Services, you must create an Account.

You agree to provide accurate, complete, and current information during registration and to keep your Account information up to date.

If you are under the age of 18 years, you may only create and use an Account with the consent of your parent or legal guardian.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your Account.

You must notify Centipid Academy promptly if you become aware of any unauthorized use of your Account, suspected compromise of your login credentials, or any other security incident affecting your Account.

Centipid Academy will implement and maintain reasonable administrative, technical, and organisational measures to protect User Accounts and personal information against unauthorised access, use, alteration, or disclosure. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.

Upon receiving notice of a suspected or confirmed unauthorized access to your Account, Centipid Academy will take reasonable steps to investigate the incident and, where appropriate, assist in securing your Account, including temporarily restricting access, requiring a password reset, or taking other appropriate security measures.

You remain responsible for activities conducted through your Account until you notify Centipid Academy of any suspected unauthorized access, except where the unauthorized activity results from our negligence, failure to implement reasonable security measures, or another circumstance for which we are legally responsible.

3.3 Account Restrictions

You may not:

• share your Account with another person;

• impersonate another individual or organisation;

• create Accounts using false or misleading information;

• create multiple Accounts for the purpose of circumventing Platform restrictions.

Centipid Academy reserves the right to suspend or terminate Accounts that violate these Terms.

4. Platform Services

Centipid Academy provides an online learning platform through which Users may access educational Courses, assessments, certificates, and related learning resources.

We may introduce, modify, suspend, or discontinue any feature or Service at our discretion.

We do not guarantee that every Course or feature will remain permanently available.

5. Course Enrolment and Purchases

5.1 Course Enrolment

Centipid Academy offers both free and paid Courses through the Platform.

Free Courses may be enrolled in without payment, subject to any applicable eligibility requirements.

Paid Courses require successful payment before access is granted, unless otherwise expressly stated.

Course descriptions, pricing, and any applicable enrolment requirements shall be displayed on the Platform before a User completes their enrolment.

5.2 Payments

By purchasing a paid Course, you authorise the applicable payment provider to process your payment using your selected payment method.

Applicable taxes, transaction charges, or other mandatory fees may be included in the purchase price or added at checkout where required by law.

Access to a paid Course will ordinarily be granted once payment has been successfully processed.

5.3 Promotional Programmes and Platform Credits

Centipid Academy may, from time to time, offer promotional programmes, referral programmes, coupons, scholarships, loyalty rewards, Platform Credits, or other incentives relating to Courses or Services offered through the Platform.

Unless otherwise stated, Platform Credits have no cash value, are non-transferable, and may only be redeemed towards eligible purchases made through the Platform in accordance with the applicable programme terms.

The value, eligibility criteria, redemption conditions, validity period, and any limitations applicable to Platform Credits or other promotional incentives shall be determined by Centipid Academy and may be revised from time to time.

Each promotional programme shall be governed by its own terms and conditions. Unless expressly stated otherwise, Centipid Academy reserves the right to introduce, modify, suspend, or discontinue any promotional programme, Platform Credit scheme, or related incentive at any time.

6. Refunds

6.1 Eligibility for Refunds

Centipid Academy may, at its discretion, issue a refund for a paid Course where:

1. the User was charged more than once for the same Course due to a payment processing error;

2. the User was unable to access the purchased Course due to a verified technical issue attributable to Centipid Academy that could not be resolved within a reasonable time;

3. the Course purchased is materially different from its published description or learning objectives; or

4. Centipid Academy otherwise determines that a refund is appropriate in the circumstances.

A refund request must be submitted within 14 days of purchase, and the learner must not have completed more than 20% of the course or obtained a certificate.

6.2 Circumstances Where Refunds Will Not Ordinarily Be Granted

Unless required by applicable law, refunds will generally not be granted where:

1. the User changes their mind after purchasing or enrolling in a Course;

2. the User is dissatisfied with a Course despite the Course substantially matching its published description;

3. the User is unable to complete a Course due to personal circumstances;

4. the User fails to meet the technical requirements necessary to access the Platform after those requirements were clearly communicated prior to purchase; or

5. the refund request arises from a breach of these Terms by the User.

6.3 Requesting a Refund

Users seeking a refund must submit a request through the support channels designated by Centipid Academy within the period communicated at the time of purchase.

Centipid Academy may request additional information reasonably necessary to assess the refund request.

6.4 Effect of a Refund

Where a refund is approved:

1. access to the relevant Course may be withdrawn;

2. any certificate issued in relation to that Course may be revoked;

3. records relating solely to completion of that Course may be removed where appropriate; and

4. the User shall cease using or accessing any Course materials associated with the refunded Course.

Centipid Academy reserves the right to refuse refund requests that are fraudulent, abusive, or otherwise inconsistent with these Terms or applicable law.

7. User Conduct and Acceptable Use

7.1 User Responsibilities

By accessing or using the Platform, you agree to:

1. comply with these Terms and all applicable laws and regulations;

2. provide accurate, complete, and up-to-date information where required;

3. maintain the confidentiality and security of your Account credentials;

4. use the Platform solely for lawful purposes and in accordance with these Terms;

5. respect the rights, privacy, and dignity of other Users; and

6. use Courses and other Platform Content only for their intended educational purposes.

7.2 Prohibited Conduct

You shall not, directly or indirectly:

1. use the Platform in any manner that is unlawful, fraudulent, deceptive, or misleading;

2. harass, threaten, intimidate, abuse, discriminate against, or otherwise interfere with another User's enjoyment of the Platform;

3. upload, transmit, or distribute Content that is unlawful, defamatory, obscene, hateful, discriminatory, or otherwise objectionable;

4. introduce viruses, malware, malicious code, or any other technology intended to damage or interfere with the Platform or its Users;

5. attempt to gain unauthorised access to the Platform, other User Accounts, or connected systems or networks;

6. interfere with, disrupt, or compromise the security, integrity, or performance of the Platform;

7. manipulate ratings, reviews, assessments, certificates, or any Platform feature through dishonest or misleading means;

8. impersonate another individual or organisation or falsely represent your affiliation with any person or entity;

9. send unsolicited promotional material, spam, or other unauthorised communications through the Platform;

10. use automated tools, bots, scripts, or similar technologies to access, scrape, or interact with the Platform without our prior written consent; or

11. engage in cheating, plagiarism, impersonation, or any other form of academic dishonesty in relation to Courses, assessments, or certificates offered through the Platform.

7.3 Enforcement

Where Centipid Academy reasonably believes that a User has breached this Section or any other provision of these Terms, we may, at our sole discretion and without limiting any other rights available to us:

1. remove or restrict access to Content;

2. suspend or terminate the User's Account;

3. revoke Course enrolment or certificates where appropriate; and

4. take any other action reasonably necessary to protect the Platform, its Users, or Centipid Technologies.

8. Intellectual Property

8.1 Platform Intellectual Property

The Platform, including its software, website design, user interface, branding, trademarks, logos, databases, source code, and other proprietary materials developed or owned by Centipid Technologies, is the property of Centipid Technologies or its licensors and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, no rights in the Platform or its intellectual property are transferred to any User.

8.2 Ownership of Course Content

Courses made available through the Platform may be owned either by Centipid Technologies or by independent course creators.

Unless otherwise agreed in writing:

1. all intellectual property rights in Courses created and published by Centipid Technologies remain the exclusive property of Centipid Technologies;

2. all intellectual property rights in Courses created and published by approved external course creators remain the property of the respective course creators.

Where a Course is created by an external course creator, that creator grants Centipid Academy the rights necessary to host, display, market, distribute, and otherwise make the Course available through the Platform in accordance with the Instructor Terms & Revenue Policy.

Nothing in these Terms transfers ownership of a course creator's intellectual property to Centipid Technologies.

8.3 Licence Granted to Users

Subject to these Terms and any applicable payment requirements, Centipid Academy grants Users a limited, non-exclusive, non-transferable, revocable licence to access and use purchased or enrolled Courses solely for their personal, non-commercial learning.

This licence does not confer ownership of any intellectual property rights in the Course or the Platform.

8.4 Restrictions

Except where expressly permitted by applicable law or with prior written permission from the relevant intellectual property owner, Users shall not:

1. copy, reproduce, modify, translate, adapt, or create derivative works from any Course or Platform Content;

2. distribute, sell, sublicense, rent, lease, publicly perform, publicly display, or otherwise commercially exploit any Course or Platform Content;

3. remove or alter any copyright, trademark, or other proprietary notices; or

4. use Course or Platform Content in a manner that infringes the intellectual property rights of Centipid Technologies, a course creator, or any third party.

9. Third-Party Services

The Platform may integrate with or provide access to third-party services, including payment providers and external websites.

Centipid Academy is not responsible for the availability, accuracy, security, or practices of third-party services.

Your use of such services is governed by their respective terms and policies.

10. Platform Availability

Centipid Academy aims to provide reliable access to the Platform.

However, we do not guarantee uninterrupted availability.

The Platform may become temporarily unavailable due to maintenance, security updates, technical issues, or circumstances beyond our reasonable control.

11. Privacy

Our collection, use, storage, and disclosure of personal information is governed by our Privacy & Cookie Policy.

By using the Platform, you acknowledge that your personal information will be processed in accordance with that policy.

12. Disclaimer of Warranties

The Platform and its Courses are provided on an "as is" and "as available" basis.

Centipid Academy does not warrant that:

• the Platform will operate without interruption;

• all Content will be free from errors;

• completion of any Course will result in employment or professional advancement.

Users remain responsible for exercising their own professional judgment when applying knowledge obtained through the Platform.

13. Limitation of Liability

To the maximum extent permitted by the laws of the Republic of Kenya, Centipid Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the Platform.

Where liability cannot be excluded by law, Centipid Technologies' total liability shall not exceed the amount paid by the User for the relevant Course or Service giving rise to the claim.

14. Indemnity

You agree to indemnify and hold harmless Centipid Technologies, its directors, employees, contractors, and affiliates against any claims, losses, liabilities, damages, costs, or expenses arising from:

• your breach of these Terms;

• your misuse of the Platform;

• your violation of applicable law; or

• your infringement of the rights of another person.

15. Suspension and Termination

Centipid Academy may suspend or terminate your Account where you:

• breach these Terms;

• misuse the Platform;

• engage in fraudulent or unlawful activity;

• compromise the security or integrity of the Platform.

Termination does not affect any rights or obligations that accrued before termination.

16. Amendments to These Terms

Centipid Academy may amend these Terms from time to time.

Where changes are material, we will provide reasonable notice through the Platform or by email.

Your continued use of the Platform after the revised Terms take effect constitutes acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.

The parties shall use reasonable efforts to resolve any dispute arising under these Terms through good-faith negotiations.

Where a dispute cannot be resolved amicably, it shall be submitted to the courts of the Republic of Kenya, which shall have exclusive jurisdiction.

18. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Failure by Centipid Academy to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between Centipid Technologies and the User regarding use of the Platform.
